Terna Acquires High-Voltage Grid Assets in Rome for $263 Million
Terna S.p.A. has completed the acquisition of Rete 2, a company previously controlled by Areti, securing a significant portion of the Acea Group's high-voltage transmission infrastructure in the Rome metropolitan area. The deal, valued at approximately €227 million ($263 million), includes 73 high-voltage lines totaling 481 km, three primary substations, and associated fiber-optic infrastructure.,
The transaction, initially announced in November 2024, received the necessary approvals from the Ministry of Environment and Energy Security, enabling the integration of these assets into Italy's National Transmission Grid (NTG).
The acquisition supports Terna's 2024-2028 Industrial Plan, aimed at enhancing operational efficiency and reinforcing infrastructure continuity in Central Italy. It also includes the transfer of employment contracts for personnel managing the grid in the affected area.
"This transaction supports the achievement of the Group's economic and financial targets," said Giuseppina Di Foggia, CEO and General Manager of Terna. "It allows for more efficient operational management of our network, particularly in the Rome area."
The regulatory asset value of the acquired infrastructure is estimated at €207 million. The acquisition is expected to have a limited impact on Terna's financial leverage and a neutral effect on its credit rating.
The move aligns with ARERA's push to unify high-voltage grid operations under Terna's management, as outlined in Resolution 616/2023, incentivizing such transfers by distribution companies.
